1. Introduction and Acceptance

These Terms & Conditions govern access to and use of the Aiexl. website, educational programs, courses, learning platforms, certification programs, admissions services, consultations, career-preparation resources, project-based learning services, communications, and related services operated by UPSKILLORS PRIVATE LIMITED under the brand name Aiexl.

By accessing the website, submitting an application, booking a consultation, applying for a program, enrolling in a program, creating or using an Aiexl. account, accessing course materials, participating in a program, or otherwise using Aiexl.'s services, the individual agrees to comply with these Terms & Conditions and all policies and program rules incorporated into them.

These Terms are intended to consolidate and incorporate the substantive provisions that may otherwise be described under separate Admissions & Enrollment, Certification, Student Code of Conduct, Intellectual Property, Certificate Verification & Usage, Cookie, and Website Disclaimer policies.

2. Company and Website

Aiexl. is a brand operated by UPSKILLORS PRIVATE LIMITED.

The principal website is www.aiexlearning.com.

The website may provide information about programs, certification, admissions, educational resources, consultations, projects, career preparation, events, and related services.

Website content may change from time to time and may include text, images, graphics, videos, software, code examples, educational materials, links, user-generated content, testimonials, project demonstrations, and third-party content.

3. Eligibility

Aiexl. programs are generally intended for undergraduate students and graduates, subject to the eligibility requirements of the particular program.

Individuals currently pursuing a bachelor's degree and individuals who have graduated may apply where the relevant program permits.

There is no general minimum age requirement stated for participation; however, age-related legal requirements, program-specific restrictions, and parental or guardian-consent requirements may apply.

Basic programming knowledge may be recommended for particular programs. Previous AI or machine-learning experience is not necessarily required where the relevant program is designed to teach foundational concepts.

Applicants should have an interest in AI, technology, programming, or related subjects and should be prepared to participate actively and complete assignments and projects.

4. Application and Admissions

Submitting an application does not guarantee admission.

Aiexl. may evaluate applications based on eligibility, information supplied by the applicant, program requirements, available capacity, academic or technical background, suitability, timing, and other relevant considerations.

Applicants may be required to provide accurate and complete information including full name, email, phone number, location, current status, qualification, degree, field of study, graduation year, college or university, programming experience, languages known, previous AI/ML project experience, employment status, GitHub, LinkedIn, portfolio, resume, and other information requested through the enrollment process.

Applicants are responsible for ensuring that submitted information is accurate, current, complete, and not materially misleading.

Aiexl. may reject an application, request clarification, place an applicant on a waiting list, provide conditional admission, or cancel an application or enrollment where information is materially false, misleading, fraudulent, unauthorized, or inconsistent with program requirements.

5. Enrollment

Enrollment becomes effective when the applicable admissions and enrollment process has been completed and any required approval, verification, payment, or other condition has been satisfied.

Program-specific requirements may differ.

Enrollment in one program does not automatically guarantee admission to another program.

Where permitted, students may enroll in multiple Aiexl. programs simultaneously, subject to program capacity, scheduling, fees, eligibility, and other applicable requirements.

6. Fees, Taxes and Payments

Program fees are the amounts displayed or otherwise communicated for the applicable program and may be exclusive or inclusive of applicable taxes depending on the relevant enrollment information.

Payment methods may include Razorpay-supported methods such as UPI, debit card, credit card, and net banking, bank transfer, or other methods made available from time to time.

Aiexl. may modify available payment methods.

Students are responsible for providing accurate payment information and completing payments through authorized channels.

The Refund Policy governs refund eligibility and is incorporated into these Terms.

7. Refund Policy

The Aiexl. Refund Policy forms an integral part of these Terms.

Unless a specific applicable program term or mandatory legal requirement provides otherwise, the standard refund structure is 100% within 24 hours, 50% after 24 hours and through 15 days, and no standard refund after 15 days.

Refund requests must be submitted to admissions@aiexlearning.com and remain subject to the conditions, exclusions, verification procedures, processing requirements, access-revocation provisions, and other terms of the Refund Policy.

8. Student Accounts and Credentials

Where Aiexl. provides an account, students are responsible for keeping their login credentials confidential and for all activity conducted through their account.

Students must not share, sell, transfer, lease, sublicense, or otherwise provide their account to another person without Aiexl.'s authorization.

Students must not attempt to access another person's account, bypass authentication, interfere with security controls, or obtain unauthorized access to Aiexl.'s systems or learning platforms.

Aiexl. may suspend or terminate accounts where misuse, unauthorized access, fraud, security concerns, or material Terms violations occur.

9. Course and Learning-Platform Access

Course and learning-platform access is provided for the duration and under the conditions applicable to the relevant program.

Different programs may have different access periods, course structures, schedules, learning platforms, and delivery methods.

Access may expire automatically at the end of the applicable access period.

Extensions may be available subject to applicable extension fees and Aiexl.'s operational policies.

An extension does not automatically restart enrollment, certification, refund, or other deadlines.

10. Learning Materials

Aiexl. exclusively owns or has the applicable rights to its learning materials, including PDFs, presentations, PPTs, videos, assessments, templates, exercises, course content, educational resources, instructional materials, graphics, documentation, recordings where applicable, and other proprietary materials supplied through the program.

Learning materials are provided to students on a limited basis for personal educational use.

Unless expressly authorized by Aiexl., learning materials are view-only and cannot be downloaded.

Students must not copy, reproduce, record, photograph, screenshot, extract, publish, upload, distribute, modify, translate for redistribution, sell, license, commercialize, teach from, or otherwise exploit Aiexl.'s protected learning materials.

Students must not upload or redistribute Aiexl. materials through Telegram, WhatsApp, messaging groups, social-media groups, file-sharing platforms, websites, repositories, cloud drives, or other channels.

Students must not use Aiexl. materials to create or provide competing educational programs, training, courses, coaching, tutorials, or commercial services.

11. Intellectual Property

All intellectual-property rights in Aiexl.'s original educational content, branding, website materials, instructional content, curriculum materials, assessments, templates, videos, graphics, text, software, designs, and other proprietary materials remain with Aiexl., UPSKILLORS PRIVATE LIMITED, or the applicable rights holder.

Enrollment does not transfer ownership of Aiexl.'s intellectual property to a student.

Students receive only the limited right necessary to access and use the materials for their authorized personal educational participation.

Student-created work remains owned by the student to the extent that the student owns the relevant rights and subject to applicable third-party rights.

Where the student has provided the applicable permission or accepted the applicable program terms, Aiexl. may use student work, projects, project descriptions, demonstrations, achievements, testimonials, or portfolio material for educational, marketing, promotional, demonstration, portfolio, showcase, or related purposes.

Students must not submit work containing unauthorized third-party intellectual property, confidential information, personal information, credentials, trade secrets, or other material they do not have the right to use.

12. Assignments and Projects

Assignments and projects form an important part of Aiexl.'s practical learning model.

Students may be required to complete assignments, module projects, practical exercises, portfolio projects, technical assessments, presentations, or a final capstone.

Project requirements may include implementation, technical documentation, README files, demonstrations, deployment, presentation, code quality, correctness, problem-solving, and communication.

Aiexl. may modify project requirements, technologies, datasets, tools, or project topics to maintain educational and industry relevance.

13. GitHub and Portfolio Requirements

Where required by a program, students must create and maintain a GitHub account and repository or repositories for their work.

Students may be required to upload projects, assignments, source code, README files, technical documentation, demonstrations, and other specified materials.

Where public access is required for certification or portfolio purposes, students must maintain the required repository or portfolio in an accessible form and provide links when requested.

Aiexl. may review GitHub repositories and portfolio materials before determining certification eligibility.

Students are responsible for ensuring that repositories do not expose passwords, API keys, confidential information, private data, proprietary third-party material, or other unauthorized content.

14. Certification Requirements

Certification is not automatically awarded merely because a student enrolls in or attends a program.

Where applicable, students must complete the required assignments and projects, satisfy applicable GitHub and portfolio requirements, complete required assessments, meet the applicable passing standard, and complete required mock-interview or presentation components.

The applicable certification framework may require a final examination or final technical assessment, with a minimum passing requirement of 70%.

Students must complete the required project and portfolio obligations.

Students must participate in at least one mock interview where mock interviews are a certification requirement.

Aiexl. may review GitHub repositories, project submissions, documentation, presentations, assessments, and other required evidence before issuing certification.

15. Digital Certificates

Aiexl. generally issues a digital certificate where the applicable certification requirements have been satisfied.

A certificate may include or be associated with a unique verification ID, verification link, digital badge, or other verification mechanism.

A certificate represents completion of the applicable Aiexl. certification requirements and is not, unless expressly stated otherwise, a university degree, government license, statutory professional license, or government-recognized academic degree.

Certification may be described as verifiable where the applicable certificate can be authenticated through Aiexl.'s designated verification mechanism.

16. Certificate Verification and Usage

Aiexl. may maintain a certificate verification system that allows legitimate third parties, including recruiters, employers, institutions, or other authorized persons, to verify certificate information.

Verification may involve a unique verification ID, public verification page, digital badge, verification link, certificate status, name, program, issue information, or other information necessary for authentication.

Students must not alter, forge, manipulate, falsely reproduce, digitally modify, misrepresent, or otherwise misuse an Aiexl. certificate or verification record.

Students must not represent an Aiexl. certificate as a university degree, government license, or qualification that Aiexl. has not expressly represented it to be.

Aiexl. may correct, suspend, invalidate, revoke, or otherwise update a certificate or verification record where the certificate was issued based on fraud, material misrepresentation, academic misconduct, unauthorized activity, serious Terms violations, administrative error, or other circumstances warranting such action, subject to applicable law.

17. Career Assistance and Outcomes

Aiexl. may provide career-preparation services including resume building, AI-focused resume guidance, portfolio development, GitHub guidance, mock interviews, interview question banks, mentorship, expert guidance, professional insights, and related resources.

Career assistance is intended to improve preparation and employability but does not guarantee employment, placement, salary, promotion, an interview, a particular employer, or any particular career outcome.

Testimonials, student achievements, project outcomes, employment examples, career statistics, industry observations, and other promotional information should not be interpreted as a guarantee that another student will achieve the same result.

18. Curriculum and Program Changes

Aiexl. may modify, update, replace, reorganize, expand, or remove curriculum topics, modules, projects, technologies, tools, assessments, schedules, instructors, mentors, delivery methods, or learning resources where reasonably necessary to maintain educational relevance, operational continuity, industry alignment, quality, or security.

Aiexl. may introduce new projects or update projects across cohorts.

Reasonable curriculum or program updates do not automatically constitute cancellation or create a refund entitlement.

Where applicable, students may be notified of material program changes.

19. Batches, Transfers and Deferrals

Batch changes are generally not permitted as a standard entitlement.

Aiexl. may consider requests for batch changes, deferrals, transfers, or program changes on a case-by-case basis depending on availability, operational circumstances, program capacity, timing, and other relevant considerations.

Approval of a change is discretionary unless otherwise required by applicable law or a specific written program commitment.

A change does not automatically reset the refund period, access period, certification deadlines, or other enrollment timelines.

20. Minor Students and Guardians

Where a student is a minor, parental or guardian consent may be required depending on applicable law, the program, the nature of the service, and the enrollment process.

Aiexl. may require confirmation of such consent before permitting participation where appropriate.

21. Student Code of Conduct

Students are expected to behave professionally, honestly, respectfully, and responsibly toward Aiexl., its personnel, instructors, mentors, applicants, students, graduates, partners, service providers, and other persons associated with its services.

Misconduct that harms, threatens, harasses, abuses, deceives, intimidates, discriminates against, or otherwise improperly targets Aiexl. or persons associated with Aiexl. is prohibited.

Students must not engage in fraud, impersonation, falsification, harassment, threats, abusive conduct, malicious activity, unauthorized access, deliberate disruption, or conduct intended to damage systems, people, reputation, or business operations.

Aiexl. may suspend access, restrict participation, terminate enrollment, revoke privileges, or take other appropriate action in response to serious or repeated misconduct, subject to applicable law and the circumstances of the case.

22. Academic Integrity

Students must submit their own work unless collaboration is expressly permitted.

Plagiarism, impersonation, falsification of results, fabricated project information, unauthorized assistance, cheating, manipulation of assessments, submission of another person's work as one's own, or other academic dishonesty is prohibited.

Aiexl. may investigate suspected academic misconduct and may require additional verification, resubmission, explanation, assessment, or other remedial action.

Serious academic misconduct may affect assessment results, enrollment, certification eligibility, or certification status.

23. Use of AI Tools

AI tools may be permitted or encouraged for certain learning activities, assignments, projects, research, coding, brainstorming, experimentation, and other educational purposes.

Students remain responsible for understanding and verifying the work they submit.

Students must comply with any assignment-specific restrictions concerning AI assistance.

Students must not use AI tools to impersonate another person, falsify results, plagiarize, violate confidentiality, expose protected information, infringe intellectual property, or deceptively represent work as entirely unaided where disclosure is required.

Where an assignment specifically requires original work without AI assistance, that requirement must be followed.

24. Fraud, Abuse and Unauthorized Use

Students and website users must not engage in fraudulent transactions, payment abuse, refund abuse, chargeback abuse, account sharing, credential theft, unauthorized access, security bypass, malicious code, disruption of services, impersonation, scraping that violates applicable restrictions, unauthorized copying, or other unlawful or abusive conduct.

Users must not attempt to reverse engineer, interfere with, compromise, damage, or bypass security mechanisms protecting Aiexl.'s website, learning platform, databases, accounts, or technology systems.

25. Brand, Trademark and Representation

Aiexl., its name, logo, visual identity, trademarks, branding, and related intellectual-property elements may not be used for unauthorized commercial purposes.

Students and third parties must not create confusingly similar branding or represent themselves as Aiexl., an authorized representative, employee, partner, sponsor, affiliate, or official representative without authorization.

No person may falsely imply that Aiexl. endorses, employs, sponsors, certifies, partners with, or is otherwise affiliated with an individual, organization, product, service, or project.

26. Website Disclaimer

Information on the Aiexl. website is provided primarily for educational, informational, promotional, and general reference purposes.

Aiexl. does not warrant that every website statement, educational explanation, technical example, AI-related statement, career statement, industry observation, project description, price, promotion, schedule, statistic, image, testimonial, third-party statement, or other content will always be complete, current, error-free, uninterrupted, or suitable for every individual.

Educational content does not constitute professional advice.

AI, software, technology, career, employment, salary, industry, or market information may change rapidly.

Code examples and technical information may require modification before being used in a particular environment.

Users are responsible for testing, verifying, and appropriately applying information before relying upon it.

Future-looking statements, projections, industry expectations, career trends, or statements concerning future opportunities are not guarantees of future results.

27. Testimonials and Industry Opinions

Images, illustrations, photographs, graphics, AI-generated images, stock imagery, project screenshots, demonstrations, or other visual content appearing on the website may be illustrative, representative, promotional, or educational.

Visual content should not automatically be interpreted as a guarantee that a particular program, project, environment, instructor, facility, tool, result, employer, or service will appear exactly as shown.

29. Partnerships, Recognition and Third Parties

Any reference to a partnership, collaboration, industry relationship, recognition, tool provider, platform, organization, employer, institution, or third-party service must be interpreted according to the specific relationship represented by Aiexl.

A reference to a third-party organization does not automatically mean that the organization endorses, accredits, certifies, sponsors, or guarantees Aiexl. unless expressly stated.

Aiexl. does not represent that third-party tools, platforms, employers, institutions, or services will remain available or unchanged.

30. Pricing, Promotions and Offers

Program pricing, discounts, promotional offers, scholarships, benefits, schedules, availability, and other commercial information may change.

Promotional offers may have specific eligibility, validity periods, usage restrictions, or additional terms.

Unless expressly stated otherwise, a promotion does not permanently establish a particular price or benefit.

31. Third-Party Services

Aiexl. may integrate with or link to third-party services including payment gateways, learning-management systems, analytics platforms, communication services, hosting providers, software platforms, cloud services, AI tools, repositories, professional networks, and other external services.

Such services may be governed by their own terms, privacy policies, licenses, availability, fees, security controls, and operational rules.

Aiexl. is not responsible for independent third-party services outside its reasonable control.

Aiexl. seeks to maintain reliable website and service availability but does not guarantee uninterrupted, error-free, secure, or continuously available access.

Website or platform availability may be affected by maintenance, upgrades, outages, hosting failures, connectivity problems, cyber incidents, software errors, third-party failures, payment-provider failures, infrastructure problems, or other circumstances.

Temporary interruption does not automatically create a refund, compensation, or extension entitlement unless required by applicable law or expressly agreed otherwise.

The website may contain links to external websites, articles, tools, repositories, social-media pages, services, resources, or other content.

External links are provided for convenience, reference, education, or functionality.

Aiexl. does not necessarily control or endorse all third-party content and is not responsible for changes, inaccuracies, security issues, availability, privacy practices, or terms of third-party websites.

Users should independently review applicable third-party terms and policies.

34. User Responsibility

Users are responsible for their own decisions, conduct, devices, accounts, credentials, submissions, downloads where expressly authorized, third-party accounts, code, projects, repositories, portfolio content, and use of educational information.

Students are responsible for maintaining backups of their own work where appropriate.

Students are also responsible for ensuring that their submissions comply with applicable law, intellectual-property rights, confidentiality obligations, academic requirements, and third-party terms.

35. Security and Credentials

Users must protect passwords, API keys, access tokens, repository credentials, cloud credentials, and other security information.

Users must not publish confidential credentials in GitHub repositories, portfolio websites, assignments, public demonstrations, screenshots, or other public locations.

Aiexl. may take reasonable action to protect its systems and users where security risks are identified.

36. User-Generated Content and Feedback

Students and users may provide feedback, reviews, suggestions, project information, testimonials, comments, or other content.

Users are responsible for ensuring that submitted content is lawful and that they have the rights necessary to submit it.

Where permitted by applicable agreement or consent, Aiexl. may use feedback and other submitted material to improve its services, educational content, website, programs, marketing, demonstrations, or communications.

Feedback does not create an obligation for Aiexl. to implement a particular suggestion.

37. Cookies

The website may use cookies and similar technologies for essential operation, preferences, analytics, performance, security, session management, and other legitimate website functions.

For purposes of simplifying the public website's policy structure, the substantive provisions that may otherwise be presented as separate policies are incorporated into these Terms.

These include Admissions & Enrollment provisions, Certification provisions, Student Code of Conduct provisions, Intellectual Property provisions, Certificate Verification & Usage provisions, Cookie provisions, and Website Disclaimer provisions.

The absence of a separate footer link for one of these subjects does not mean that the subject is excluded from the contractual framework governing Aiexl.'s services.

40. Limitation of Responsibility

To the maximum extent permitted by applicable law, Aiexl. is not responsible for losses arising solely from circumstances outside its reasonable control, third-party services, user misconduct, unauthorized access caused by the user's failure to protect credentials, third-party website activity, inaccurate information supplied by a user, or the user's misuse of educational information.

Nothing in these Terms is intended to exclude liability or responsibility that cannot lawfully be excluded or limited.

41. Force Majeure

Aiexl. will not be considered in breach of these Terms to the extent performance is prevented, delayed, or materially affected by circumstances beyond its reasonable control, including natural disasters, governmental actions, war, civil unrest, epidemics, pandemics, infrastructure failures, telecommunications failures, power failures, cybersecurity incidents, third-party outages, payment-provider failures, or other extraordinary circumstances.

Aiexl. may take reasonable steps to resume services or provide alternative arrangements where practicable.

42. No Guarantee of Employment, Salary or Results

Aiexl.'s programs, certifications, projects, career resources, mentorship, mock interviews, resumes, portfolios, GitHub guidance, and other services are intended to support learning and career preparation.

Aiexl. does not guarantee employment, placement, internship, interview selection, salary, promotion, business success, admission to another institution, or any particular professional outcome.

Past student results, testimonials, statistics, industry trends, or examples do not establish a guaranteed outcome for future students.

43. No Professional Advice

Unless expressly stated otherwise, Aiexl.'s educational content is not legal, financial, medical, employment, cybersecurity, investment, or other professional advice.

Users should obtain qualified professional advice where their circumstances require it.

44. Suspension and Termination

Aiexl. may suspend, restrict, or terminate access to its services where necessary due to serious or repeated Terms violations, fraud, misconduct, security concerns, unauthorized use, payment issues, academic misconduct, intellectual-property violations, abuse, or other legitimate grounds.

Termination or suspension may result in loss of access to courses, learning platforms, communities, assessments, certification, career resources, or other benefits.

Any mandatory legal rights remain unaffected.

45. Effect of Termination

Termination does not automatically eliminate obligations that by their nature are intended to continue after termination, including intellectual-property restrictions, confidentiality-related obligations, payment obligations, dispute provisions, certificate-verification provisions, limitation provisions, and applicable legal obligations.

Where enrollment is terminated following a refund or violation, access to the relevant learning materials may be revoked.

46. Changes to These Terms

Aiexl. may update these Terms from time to time to reflect changes in its programs, services, technology, operations, policies, legal requirements, security practices, or business structure.

Updated Terms may be published on the website with an updated effective date or appropriate notice.

Continued use of Aiexl.'s services after updated Terms become effective may constitute acceptance of the updated Terms to the extent permitted by applicable law.

47. Governing Law

These Terms are governed by the applicable laws of India.

Subject to mandatory legal requirements, disputes arising in connection with Aiexl.'s services or these Terms will be subject to the jurisdiction of the competent courts in Maharashtra, India.

48. Dispute Resolution

Aiexl. encourages parties to first attempt to resolve disputes through good-faith communication and negotiation.

If the dispute cannot be resolved through negotiation, the parties may attempt mediation before pursuing further legal remedies, subject to applicable law.

Nothing in this provision prevents a party from exercising a mandatory statutory right or seeking urgent legal relief where such relief is legally available or necessary.

49. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable where legally permissible, and the remaining provisions will continue to apply.

50. No Waiver

A failure or delay by Aiexl. in enforcing any provision of these Terms does not constitute a waiver of its right to enforce that provision later.

51. Entire Agreement

These Terms, together with the Privacy Policy, Refund Policy, applicable program-specific requirements, enrollment terms, and other expressly incorporated provisions, constitute the principal framework governing the relationship between Aiexl. and the user in connection with the relevant services.

Where there is a conflict between a mandatory legal requirement and these Terms, the mandatory legal requirement will prevail.

Where a specific written program term applies to a particular service, that program-specific term may supplement these Terms to the extent permitted by law.

52. Mandatory Rights Preserved

Nothing in these Terms, the Privacy Policy, Refund Policy, or any incorporated policy is intended to remove, restrict, or waive a consumer, student, contractual, statutory, or other legal right that cannot lawfully be excluded or waived.
